Terms of Use

These Terms of Use (“Terms”) are an agreement between you and Sam Ships (“Sam Ships,” “we,” “us,” or “our”) governing the Nanny Notes iOS app, temporary caregiver sessions, related websites, and support services (together, the “Service”). By downloading, buying, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18, or the age of legal majority where you live, and legally able to enter this agreement. Nanny Notes is for parents, guardians, and caregivers; it is not intended for children to use independently.

Nanny Notes helps a parent prepare care information and share a temporary session pack with a selected nanny or babysitter. It is an organizational and communication tool only. Sam Ships does not employ, recommend, vet, supervise, insure, or perform background checks on caregivers and is not a childcare, medical, security, or emergency-response provider.

We may change, limit, suspend, or discontinue features when reasonably necessary. Cloud access, notifications, downloads, links, and offline copies can fail or be delayed.

You are responsible for:

• Entering only information you are authorized to provide and share, including information about a child or another adult
• Obtaining any consent required to record or share a person’s voice, image, health information, or other personal information
• Reviewing the recipient and every session pack before sharing it
• Keeping invite links, codes, devices, household credentials, and contact information secure
• Verifying allergies, medications, emergency contacts, addresses, access codes, and instructions before every sit
• Choosing and supervising caregivers and determining whether they are suitable for your family
• Maintaining another way to contact the parent or caregiver and access essential safety information

A caregiver may use a pack only for the applicable sit, must protect it from unauthorized access, and must not copy or disclose it except as reasonably necessary for care or safety.

You retain ownership of content you provide. You grant Sam Ships a limited, nonexclusive license to host, transmit, reproduce, and process that content only as needed to operate, secure, maintain, and support the Service or comply with law.

You may not use Nanny Notes for covert recording, unlawful surveillance, harassment, exploitation, infringement, or to upload content you do not have the right to use. A recipient may screenshot, record, copy, or retain shared information, and expiry cannot recall copies outside our control.

You may not:

• Access or attempt to access another family’s information without authorization
• Guess, scrape, sell, publish, or automate attacks against invite links or codes
• Bypass rate limits, access controls, subscriptions, or security measures
• Upload malware, unlawful material, or content intended to harm a person or system
• Use the Service to abuse, endanger, exploit, or unlawfully monitor a child or adult
• Reverse engineer or disrupt the Service except where applicable law expressly permits it

We may restrict or terminate access and preserve or disclose information when reasonably necessary to investigate misuse, protect safety or rights, or comply with law.

Nanny Notes is not 911, an emergency service, a medical device, a medical record, or medical advice. Information may be stale, incomplete, unavailable, or wrong. Calls, notifications, links, offline copies, and cloud access can fail or be delayed. Always verify critical instructions independently and contact qualified professionals or local emergency services directly.

Paid features may be offered through Apple auto-renewable subscriptions. The price, billing period, and any introductory trial are shown before purchase. Payment is charged to the Apple Account confirmed in the purchase sheet. Unless canceled at least 24 hours before the end of the current period, a subscription renews automatically at the displayed price, subject to Apple’s terms and permitted price changes.

Manage or cancel through Apple’s subscription settings. Deleting the app or starting fresh does not cancel a subscription. Refund requests are handled under Apple’s policies, and Restore Purchases is available in the app. If an in-app disclosure differs from the Apple purchase sheet, the Apple purchase sheet controls the transaction.

Apple is not responsible for maintenance or support except as required by its platform terms. Apple and its subsidiaries are third-party beneficiaries of these Terms to the extent required by Apple’s developer terms. Apple’s Standard EULA also applies unless a valid custom EULA supersedes it.

Our Privacy Policy explains how information is processed. Our Data Deletion page explains local reset, session revocation, and deletion requests. Deletion cannot remove a copy already made by a recipient or information we are legally required to retain.

The Service, excluding user content, is owned by Sam Ships and its licensors and is protected by applicable intellectual-property laws. Subject to these Terms, you receive a personal, limited, revocable, nonexclusive, nontransferable license to use the Service for its intended purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SAM SHIPS DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT INFORMATION IS ACCURATE, THAT A CAREGIVER WILL FOLLOW IT, THAT ACCESS OR NOTIFICATIONS WILL BE UNINTERRUPTED, OR THAT THE SERVICE WILL PREVENT HARM, LOSS, OR UNAUTHORIZED COPYING.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAM SHIPS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE CLAIM OR FIFTY U.S. DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO THESE LIMITS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

To the extent permitted by law, you agree to indemnify and hold Sam Ships harmless from claims, losses, and reasonable costs arising from your content, your unlawful or unauthorized use, your violation of these Terms, or your infringement of another person’s rights. This does not require indemnification for Sam Ships’ own unlawful conduct.

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules, except where the law where you live requires otherwise. Subject to any non-waivable consumer rights, the state and federal courts located in Colorado will have exclusive jurisdiction over disputes arising from these Terms or the Service.

We may update these Terms as the Service or law changes. We will update the effective date and provide any notice required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnity, and dispute terms—will survive.
