Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Nudge iOS application and related websites operated by Sam Ships (“we”, “us”). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms describe how Nudge is intended to work. They are not a substitute for advice from your own counsel.

Nudge helps you untangle everyday overwhelm into one small, startable next step. You can type or dictate a brain dump; Nudge (with its companion character, Milo, in the product experience) helps surface one task and a tiny first move, with optional focus tools, local history of starts, reminders, widgets, and related features.

Nudge is not a medical device, therapy, diagnosis tool, crisis hotline, or professional advice service. It does not treat or clinically improve ADHD or any condition. It is a wellness and productivity support tool for ordinary stuck moments. If you are in crisis or need clinical care, contact a qualified professional or local emergency resources.

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms. The Service is not directed at children under 13.

Nudge’s MVP does not require a traditional username/password or email account. The app may create an anonymous device credential so free weekly limits, security, and Pro access can work across sessions. You are responsible for the device you use and for keeping it reasonably secure. We may suspend or reset device sessions if we detect abuse, fraud, or risk to the Service.

Nudge offers a free tier with a limited number of AI-assisted rescues per calendar week (currently three), plus on-device or deterministic help when AI is unavailable or limits are reached. Exact free limits may change; the app will show your current allowance.

Nudge Pro is an optional auto-renewable subscription sold through the Apple App Store via StoreKit. Planned US pricing (display may vary by storefront and tax):

• Monthly: $7.99 / month
• Annual: $49.99 / year, with a 7-day free trial on the annual plan where offered

Pro is intended to unlock unlimited AI rescues and other Pro-only features described in the app (such as fuller history or extended focus options), subject to change as we ship.

Payment is charged to your Apple ID. Subscriptions renew automatically unless you cancel at least 24 hours before the end of the current period. Manage or cancel in iOS Settings → Apple ID → Subscriptions. Refunds, where available, are handled by Apple under Apple’s policies. Use Restore Purchases in the app after reinstalling or switching devices signed into the same Apple ID.

If you obtained the app from the Apple App Store, Apple’s Licensed Application End User License Agreement may also apply to the licensed application, and these Terms apply to our Service and content in addition to that license where permitted.

You agree not to misuse the Service, including by attempting to:

• Interfere with, disrupt, or overload the Service
• Reverse engineer, scrape, or automate access except as allowed by law
• Circumvent free limits, rate limits, App Attest, or purchase checks
• Use the Service for unlawful, harmful, abusive, or fraudulent purposes
• Probe the AI for disallowed advice (medical dosing, criminal activity, etc.) or attempt to bypass safety routing
• Upload content that infringes others’ rights or contains malware

You retain rights to content you submit (such as brain dumps). You grant us a limited, worldwide, non-exclusive license to transmit, process, and display that content solely as needed to operate the Service — including sending text to our AI provider to generate steps — as described in our Privacy Policy.

You are responsible for what you enter. Do not submit content you do not have the right to share. We may remove or refuse content that violates these Terms or creates risk.

Steps and suggestions are generated automatically and may be wrong, incomplete, or unhelpful. They are optional starting points, not instructions you must follow. Nudge does not guarantee that any task will be completed, that priorities are correct, or that other tasks can safely wait. Always use your own judgment for medical, legal, financial, safety, or other high-stakes decisions.

The Service — including software, design, branding, Milo and other characters, and original content — is owned by Sam Ships or its licensors. These Terms do not grant you ownership of the Service. You may not copy, modify, or redistribute our branding or assets except as the app explicitly allows (for example, personal share cards you create).

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. Nudge does not guarantee uninterrupted availability, specific outcomes, or error-free AI output, and is not a substitute for professional mental health care or emergency services.

To the fullest extent permitted by law, Sam Ships and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid us for Nudge Pro in the twelve months before the claim or (b) USD $50. Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the maximum extent permitted.

You may stop using the Service at any time and may delete the app and cancel any subscription through Apple. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Provisions that by their nature should survive (including disclaimers, limitations of liability, and intellectual property) will survive termination.

These Terms are governed by the laws of the United States and the State of California, excluding conflict-of-law rules, unless mandatory consumer protections in your place of residence provide otherwise. Courts in California will have venue for disputes that may be brought in court, subject to those protections and any applicable Apple App Store terms.

We may update these Terms periodically. We will post the revised version on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance of the revised Terms, except where local law requires additional consent.
